Esta dissertação tem como objetivo primordial o estudo do dever de lealdade e a
consequente responsabilidade civil por violação do mesmo.
Para tal, começamos por referir as alterações legislativas relevantes nesta matéria e, de
seguida, realizamos uma abordagem geral ao artigo 64.º do Código das Sociedades
Comerciais. Aqui iremos abordar, de uma forma menos aprofundada, os deveres de cuidado.
De seguida faremos um estudo aprofundado e abrangente ao dever de lealdade dos
administradores, delimitando as condutas a que este se pode reconduzir. Neste âmbito,
incluímos uma análise ao conceito de interesse social. Isto para que possamos perceber quais
os fatos que podem conduzir à responsabilidade civil dos administradores.
Após o tratamento analítico destes pontos, veremos quais os pressupostos que têm de
estar preenchidos para que se verifique uma situação de responsabilidade civil dos
administradores e, veremos ainda, como se efetiva essa responsabilidade perante a sociedade.
Ao longo do trabalho é também abordado o tratamento que a jurisprudência nacional
tem dado estas situações e procura-se perceber se este é suficiente face aos acontecimentos
atuais.

This dissertation has as its primary objective the study of the duty of loyalty and the
consequent liability for violation of the same.
To this end, we begin by referring to the relevant legislative amendments in this
respect, and then carry out a general approach to article 64 of the Commercial Companies
Code. Here we will address, in a less in-depth, the duties of care.
Then we will make an in-depth and comprehensive study to the duty of loyalty of
Directors, delimiting the conducts that it can bring. In this context, include an analysis to the
concept of social interest. This so we can understand what the facts that can lead to civil
liability of administrators.
After analytic treatment of these points, we will see what are the assumptions that
must be filled in to that situation of civil responsibility the administrators and, as we shall see
if this responsibility effectively towards society.
Along the work is also discussed the treatment of the national jurisprudence has given
these situations and try to figure out if this is sufficient in relation to current events.
