A Reforma do Direito das Sociedades de 2006 alterou, significativamente, o regime da
responsabilidade dos administradores. Das novidades introduzidas pelo Decreto-Lei 76.º-A/2006, de
15 de março, destacamos a nova redação do artigo 64.º C.S.C., assim como a introdução da BJR no
ordenamento jurídico interno. A operatividade e a sistematização destes preceitos no atual quadro
legal, constituem um contínuo desafio para os intérpretes aplicadores do direito, que se deparam com
disposições inspiradas além-mar, culturalmente distintas. Aplicadas ao setor da atividade de
distribuição da energia elétrica e do gás natural, constatamos que a riqueza do regime geral se
coordena e sustenta as especificidades do regime da responsabilidade dos administradores desse
setor perante a Sociedade, mas também perante terceiros e a Entidade Reguladora.

The 2006 Portuguese Company Law reform changed significantly, the administrators responsibility
regime. Of the novelties introduced by the Decree-Law 76-A/2006 of March 15, we highlight the new
wording of the article 64 of the Commercial Companies Code, as well the introduction of the BJR in
the internal juridical planning. The operability and systematization of these precepts in the actual legal
frame, builds a permanent challenge to the interpreters law appliers, who confront themselves with
oversees dispositions, culturally apart. Applied to the electric energy and natural gas distribution
activity sector, we find that the general regime wealth, coordinates and bears the specificities of that
sector administrators responsibility regime towards the Company, but also towards third parts and the
Regulatory Authority.
