O regime jurídico aplicável aos fundos investimentos em capital de risco tem assumido cada
vez maior relevância no âmbito dos fundos de investimento em gera, tendo sido objeto de
profundas e estruturantes alterações em 2015, por força da transposição das Diretivas
europeias e consequente harmonização do regime aplicável à generalidade dos organismos de
investimento colectivo. São várias as questões que surgem quanto ao funcionamento do
regime jurídico e integração das possíveis lacunas. A definição dos deveres das entidades
gestoras de fundos de capital de risco, face aos poderes conferidos, ou não, aos participantes,
assume fundamental importância na análise deste instrumento financeiro. Revela-se
fundamental endereçar o conceito de interesses dos participantes, uma vez que toda a
atividade das entidades gestoras deverá ser direcionada no sentido da sua exclusiva
prossecução, e determinar de que forma esse dever fundamental se enquadra com a total
autonomia conferida à gestão. Isto leva nos a questionar a integral estrutura de separação dos
poderes entre os participantes do fundo e a entidade gestora, argumentando no sentido da
aplicabilidade da tese dos investidores ativos, a qual se tem revelado não apenas mais
adequada que a da passividade dos participantes, manifestando-se em acentuada proliferação
em mercados mais sofisticados, como fornecedora de uma estrutura de gestão de risco mais
justa.

The legal framework of venture capital funds is assuming an increasing relevance in the field
of investment funds, in general. This is a matter that has been profoundly reformulated by the
recent (2015) transposition into the national judicial order of the European Directives, and
subsequent harmonization of the regime of collective investment funds. As the market for
such investment funds is continuing its dynamic evolution, various issues are in the raise,
regarding the application of the legal framework and integration of possible shortcomings of
the law. The definition of the concept of duties of the management entities of venture capital
funds, regarding the powers which are attributed, or not, to the investors is of extreme
importance in the correct analysis of this financial instrument. It is mandatory to study the
legal concept of interests of the participants/ investors, given that the management entities are
obliged to exercise their activity relying and pursuing in exclusive those interests, as well as
determining how this fundamental duty of the management entity fits into the absolute
autonomy conferred for the exercise of the management of the fund. This undeniably makes
us question the whole structure of the separation of management and power between the
managing company and the investors, arguing that an active-investor structure is the most
adequate, rather than the passive-investor, is in clear proliferation in more sophisticated
markets and also provides a more equitable and fair structure of management
