Accreditations
The degree of Master in Enterprise and Labour Law, which contains 96 credit units, is granted after the student receives approval in all the mandatory curricular unit of one of the specialisation areas (including defence of the dissertation or project work), as well as one or more elective curricular units with 6 credit units. These 6 credit units may be obtained in one of the nuclear subjects of the other specialisation area or any other free elective curricular unit.
The student may complete up to 24 additional credit units in free elective curricular units. These curricular units will also be certified as individual curricular units in the supplement to the Enterprise and Labour Law Master's Diploma.

The assessment method mentioned in 1) includes a Mid-term test (with a weighting of 40% in the final grade) and a Final Teste (with a 60% weighting in the final grade). The minimum mark in each of the mentioned tests is 7.5 points (in a 20 points scale).
In case of "Assessment by exam", it occurs excusively during the assessment period and covers all the material taught in the curricular unit, with a weighting of 100% in the final grade.

Students pass the UC if they obtain a final grade greater than or equal to 10 points.

Corporate Tax Law
1. To provide master's students with a detailed overview of company tax law, with a particular focus on the taxation of business activity, essentially materialised in the study of corporate income tax.
2. Establish a theoretical and application link with the international tax system, from the perspective of business activity.
To achieve these objectives, it is necessary to pass on theoretical knowledge so that it can then be applied to solving practical cases. At the same time, reading (and analysing) scientific papers and case law will help to consolidate knowledge of corporate income taxation and its links with the international tax system.

Assessment throughout the semester:
- Participation (quality, relevance and frequency) of students in class (weighting of 20% in the final grade) and a written test (weighting of 80% in the final grade). Students are required to attend 2/3 of the classes.
- Alternatively, students can complete a written test (weighting 80% of the final grade) and a scientific initiation article on any of the syllabuses (weighting 20% of the final grade).
If the final mark is less than 9.5, the student will fail the course. As an alternative to assessment throughout the semester, students may take an exam (which may take place in the 1st term).

Students who successfully complete this course will be able to:

1 - Assessment throughout the semester
Access to this form of assessment requires the student to ensure attendance of 80% or more and a minimum mark of 7.5 in each of the assessment instruments. It includes:
a) Written test (50% of the final grade)
b) Individual written review (20% of the final grade)
c) Group work according to a structured script (30% of the final grade)
ACADEMIC INTEGRITY AND ARTIFICIAL INTELLIGENCE
The integration of Artificial Intelligence (AI) into the teaching-learning process is seen as both an opportunity and a challenge. If, on the one hand, it makes it faster to find solutions, easier to unblock doubts and reduces research time, on the other, it limits a critical approach to the use of information and the construction of knowledge, does not identify sources, is not validated by peers and reduces the development of critical thinking.
This course will allow the use of AI tools with the following objectives in mind: Research into general theoretical constructs, concepts and definitions that allow students to frame their research and critical reflection on the subjects under analysis.
In this sense, whenever the assessment elements submitted have resorted to the use of AI tools, students must ensure compliance with the rules of referencing and academic integrity laid down in the law and regulations. Whenever necessary, by decision of the teacher and as an element of prevention of any type of plagiarism and/or academic fraud, oral tests may be requested which, confirming the occurrence of improper and unreferenced use of AI tools, will result in the annulment of the assessment element under analysis.
2 - Assessment by examination (Article 10 of the RGACC)
Students who opt for this assessment method, as well as those who have not passed the Assessment method during the semester, will take an exam that includes a written test covering all the content taught in the course (100% of the final grade).

The objective of the present C.U. is to:
a) enable students to identify, contextualise and apply the principles and rules relating to the institute of insolvency in a business context;
b) Enable students to identify the various ways in which a business organisation enters into insolvency, or into imminent insolvency, while promoting understanding on the tools available for recuperating such business organisations;
c) Demonstrate to students the procedure leading to the extinction and liquidation of the business organisation, in order to protect the economy at large and the market;
d) promote critical understanding of the symbiosis between the Commercial Companies Code and the Civil Procedure Code, in particular, with regard to the exercise of social rights.

For students not approved or for those who want to improve their grades, there will be a written exam a second time at the end of the semester in which the course is taught.

Corporate Procedural Law
The objective of the present C.U. is to:
a) enable students to identify, contextualise and apply the principles and rules relating to the institute of insolvency in a business context;
b) Enable students to identify the various ways in which a business organisation enters into insolvency, or into imminent insolvency, while promoting understanding on the tools available for recuperating such business organisations;
c) Demonstrate to students the procedure leading to the extinction and liquidation of the business organisation, in order to protect the economy at large and the market;
d) promote critical understanding of the symbiosis between the Commercial Companies Code and the Civil Procedure Code, in particular, with regard to the exercise of social rights.
1. Insolvency, from an economic and a legal perspective;
2. Concepts, evolution of the institute and its subjects;
3. Legal mechanisms applicable to the recovering of business organisations;
4. Hybrid business organisations' recovery mechanisms;
5. Extrajudicial business organisations' recovery mechanisms;
6. Protection of the economy, dissolution of the business organisation and liquidation of its assets;
7. The symbiotic relationship between substantive corporate law and civil proceedings;
8. Corporate acts and specific procedural issues arising therefrom, progress of the court proceedings and appeals.

Assessment throughout the semester consists in the following elements: (i) learning diary: 10%; (ii) bibliographic report with oral presentation in class: 30%; (iii) individual written assessment: 60%. Attendance of classes is mandatory, as well as obtaining a minimum note of 8 in the Test and the Group work.

Seminar on Corporations
Develop research and writing skills in law.
Acquire specific knowledge in topics of Business law, including on a comparative perspective, namely concerning Spanish law.
1- Presentation of several topics of Business law by the teachers.
2- Information on how to prepare and write a dissertation.
3- Presentation of the subject of their dissertation by the students or of a paper on a subject studied in the Course (80%), as well as a short text regarding one of the contents of the classes given by foreign teachers (20%).
The evaluation is based exclusively on a written report to be presented by the student according to the Programm.

Master Dissertation in Enterprise and Labor Law
In order to successfully complete this subject, the student should be able to:
1.Identify, select and examine theoretical references for the topic to be studied.
2.Identify and design a research topic.
3.Establish an appropriate theoretical framework.
4.Write and present the research outcomes.
5.Discuss and develop arguments on strengthens and weaknesses of the research.
Given the nature of this unit, it is hardly possible to define programmatic contents with specific topics. Basically, the subject attempts the use of acquired skills in order to successfully complete the Master thesis. Accordingly, it focuses on some particular topics:
1.General structure of the Master thesis.
2.Writing the theoretical framework and research issues.
3.Link between theoretical framework and empirical analysis.
4.Discussion of findings and concluding remarks.
5.Preparation for public defence of the Master thesis.
Master dissertations must be discussed and defended publically. The goal is to assess student's technical, writing, presentation, and discussion skills.

Objectives
This MSc aims to deepen and enlarge students' knowledge in the area of Enterprise and Labour Law, especially Company Law and Labour Law, as well as provide a complementary training in the field of Management. The programme is directed in particular towards those with bachelor's degrees in Law.
At the conclusion of this course, students will be able to pursue professional work in the area of human resources or as lawyers in the area of company law, especially in corporate law, as well as in labour law, commerical law, or fiscal law. In these roles, they may be placed in a law firm in service to a company or another organization. Furthermore, they will also be qualified to apply to the Center of Judicial Studies or a doctorate course in Law.
It is intended that students will build their capacities in:
- at the knowledge-level: understanding business as a multi-disciplinary entity that combines, law, accounting, corporate finance and human resources:
- at the skill-level: applying knowledge of law, accounting, corporate finance and human resources management to the resolution of the problems that arise in the corporate world, integrating law into the larger contexts in which business operates to formulate analyses and plan interventions;
- at the expertise-level: being able to independently present preventative measures for addressing issues to company management, as well as to develop and execute the legal measures necessary for the judicial resolution of conflicts in court; being able to independently develop original research ideas in various areas of corporate and labour law.
Thesis / Final work
Finishing the master's requires the completion of a dissertation in the discipline, or the completion of an innovative, applied final project, both of which correspond to 54 credits.
The option of choosing between completing an academic dissertation or an original project is given because of the diverse nature of the programme's target applicants, which include on the one hand students and technicians who intend to pursue second cycle studies, and on the other professionals in direct contact with the subjects of analysis in the course.
The preparation of the dissertation or project is guided by a professor or specialist of recognized merit, and will be the object of public evaluation and discussion before a jury chosen for this purpose.
