Na subsequente dissertação, pretende-se explorar a temática da exoneração no âmbito da fusão societária. O Direito de exoneração consiste numa garantia que visa acautelar os interesses dos sócios minoritários, sendo por isso, essencial que o setor normativo do processo de fusão contemple tal disposição. O procedimento de fusão incorpora alterações sociais que poderão desencadear riscos, pelo que, o legislador sentiu a necessidade de criar mecanismos de proteção. Todavia, tais mecanismos incorporam pressupostos que, por vezes, colocam em causa a aplicação e efetivação deste direito. Nesse seguimento, serão analisadas e aprofundadas as causas legais e contratuais do direito de exoneração e, posteriormente, enquadrar-se-á tal concessão na esfera da fusão, por forma, a compreender-se o alcance deste direito a nível legislativo. Importa, ainda, referir que com este estudo serão observadas e criticadas as opiniões de alguns Ilustres Autores, tendo em conta, que este é um tema alvo de grande debate doutrinário.

In this dissertation, it is intended to explore the subject of exoneration within the corporate merger. The right to exoneration consists in a guarantee aimed at safeguarding the interests of minority shareholders and it is therefore essential that the normative sector of the merger process includes such provision. The merger procedure incorporates social changes that may create risks, so the legislator felt the need to create protection mechanisms. However such mechanisms incorporate assumptions which sometimes lead you to question the application and the enforcement of this right. In such a case all legal and contractual causes of the right of exoneration will be fully analyzed, and later this concession will be framed in the sphere of fusion, in order to understand the scope of this right on the legislative level. It is also important to mention that in this study the opinions of some distinguished authors will be studied and criticized as this is a theme subject to great doctrinal debate.
