Uma das mais recentes estratégias utilizadas pelas farmacêuticas mundiais é a aquisição de empresas especialistas na produção de medicamentos genéricos, pois trata-se de um segmento em franca expansão e desta forma reforça-se o controlo deste subsector. Esta tese teve como objectivos, analisar a indústria em geral em contraponto com a indústria farmacêutica; analisar em específico esta última, enquanto sector; e, por fim, proceder a um estudo de caso baseado na empresa Novartis com dois event studies relativos a aquisições recentes desta empresa (EBEWE Pharma fabricante de genéricos e Alcon Inc. fabricante de medicamentos patenteados). Como métodos de análise deste caso procedeu-se à determinação dos retornos anormais e dos retornos anormais acumulados e das respectivas significâncias estatísticas. Assim, foi possível concluir que os motivos apresentados para a realização de Fusões e Aquisições coincidem tanto na indústria em geral como na indústria farmacêutica sendo prioritariamente as economias de escala e scope, e as complementaridades dos recursos. Concluiu-se ainda que, as empresas farmacêuticas são frequentemente sujeitas a reestruturações organizacionais, estratégicas e financeiras, devido à movimentação característica do sector. Esta problemática é então solucionada através da actividade de Fusões e Aquisições. No caso Novartis, demonstrou-se existência de retornos anormais e significâncias estatísticas distintas nos dois event studies. Relativamente à aquisição da EBEWE Pharma o mercado reagiu de forma indiferente ou até positiva, no entanto estatisticamente o efeito não foi significativo. Já em relação à Alcon o mercado reagiu negativamente, mas em termos absolutos é estatisticamente significativo. Constatou-se, como esperado, que a cotação da empresa adquirente diminuiu após a data de anúncio do evento. Pelo contrário, o anúncio determinou uma reacção positiva na empresa adquirida indicando um potencial ganho para os accionistas.

One of the latest strategies used by global pharmaceutical companies is the acquisition of expertise in producing generic drugs, because it is a booming segment and thereby reinforces the control of this subsector. This thesis’s main objectives were to: analyze the industry in general in comparison to the pharmaceutical industry; analyze the latter as an industry and, finally, conduct a case study based on Novartis regarding two event studies of its recent acquisitions (EBEWE Pharma a generic manufacturer and Alcon Inc. a manufacturer of patented drugs). The methods of analysis of this case involved the determination of abnormal returns and cumulative abnormal returns and their statistical significance. I concluded that the reasons for completion of Mergers and Acquisitions coincide both in the industry in general and in the pharmaceutical industry. They were the economies of scale and scope, and the complementarities of resources. It was also concluded that pharmaceutical companies are often subject to organizational, strategic and financial restructuring, due to the movement characteristic of the sector. This problem is then solved by the activity of Mergers and Acquisitions. In the Novartis case, it was demonstrated that the results of abnormal returns and statistical significance are different in the two event studies. Following the acquisition of EBEWE Pharma, the market reacted indifferently or even in a positive manner, although not statistically significant. In relation to Alcon there was a negative market reaction, which in absolute terms was statistically significant. As expected, the price of the acquiring company decreased following the announcement date. Instead, the announcement caused a positive reaction in the acquired company indicating a potential gain for the shareholders.
